Affiliate Program Agreement

You can register as an affiliate at CertainGain.com under following conditions:

1. You are 18 years of age or older
2. You have your own account at Paypal.com
3. You accept our Affiliate Program Agreement

By signing up for an affiliate account, you are agreeing to the terms specified in this agreement.

This is a legally binding Agreement. By completing and submitting the online application, you acknowledge that you have read, understand and agree to be bound by this operating Agreement.

1. During registration process you must enter accurate email addresses and your personal details. After registration you will be asked to confirm your registration via email. Check your mailbox and click the confirmation link in order to activate your affiliate account. We may accept or refuse your application. If we accept you as our affiliate you need to keep your account details such as name, email address, etc. up to date.

2. You are only an independent contractor when acting as our affiliate. No partnership, joint venture or other legal entity is created between CertainGain.com and you as an affiliate.

3. COMMISSIONS: Your commission will be 50% of any sale generated through your affiliate links. Commissions are based on the percentage of sale in effect at the time of sale. We reserve the right to change the price of our products and services at any time without notice.

In order to receive your commissions you must have your own valid Paypal account.

Commission payments:

The commission payment week is the last week of the month. Commisions will be paid for previous month's cleared sales.

All affiliate payments will be made in U.S. dollars to affilaite's Paypal account. If a sale is canceled or refunded, the commission will not be paid or a paid commission will be deducted from a subsequent payment. Affiliate commissions will not be paid if based upon amounts that are attributable to credit card fraud, credits given to customers, bad debt right-off and returned goods. CertainGain.com reserves the right to deduct in subsequent months, any commission paid for a product or service that is subsequently returned or refunded, or for any reason where the previous monthly commission was overpaid or later subject to reduction.

4. You agree to receive e-mail from CertainGain.com, including but not limited to, sales reports, training, promotional resources, newsletters and other correspondence.

5. By becomming our affiliate you will get access to password protected area where you will find various promotional material such as your affiliate links, banners, graphics, text ads, endorsement emails, etc. You have our permission to use that material only in accordance to our instructions and only in order to promote our products and services. You are not permited to share your affiliate account and promotional materials with others n0r to modify or use any of our promotional material for other purposes. If you have a specific need to modify your links or promo material please contact us for permission. You must not mislead the potential customers by giving any false or fake information or promises.

Furthermore, you must not include affiliate links or promotional materials on such websites that are in any way unlawful, harmful, threatening, harassing, defamatory, obscene, violent or that:
- promotes or depicts violence (i.e., murder, selling weapons, cruelty, abuse, etc.);
- promotes pornographic or sexually explicit materials;
- promotes discrimination based on gender, race, religion, nationality, disability, sexual orientation or age;
- promotes or offers peer to peer file sharing methodologies that may allow consumers to infringe the intellectual property rights of others;
- violates copyrights, trademarks, or any other intellectual property rights of CertainGain.com, and its subsidiaries and affiliates or any other person or entity

6. We have zero tollerance towards SPAM. If you get caught sending any kind of non permission-based emails in connection to our affiliate program, our product, our websites or our business in general, your account will be deleted without notice and any possible future commission payouts cancelled. You may send emails in connection to our affiliate program only to those people that have explicitelly asked to receive emails from you and you must be able to prove it if needed..

7. You are not allowed to buy our products through your own affiliate links obtained from us nor to register as an affiliate through your own affiliate links. If you do it, or if you try to cheat our system in general, your account will be deleted without notice and any possible future commission payouts cancelled.

8. DISCLAIMERS: CertainGain.com makes no representations or warranties whatsoever, regarding potential income that may result from participation in CertainGain.com's affiliate program. CertainGain.com specifically disclaims any and all warranties in regards to affiliate's earning potential.

We make no express or implied warranties or representations with respect to the program or any products sold through the program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors

9. LIMITATION OF LIABILITY: We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this agreement or the affiliate program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this agreement and the program will not exceed the total referral fees paid or payable to you under this agreement

10. We may modify any of the terms and conditions contained in this agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on our site. Modifications may include, but not limited to, changes in the scope of available affiliate commissions, payment procedures, and program rules. If any modification is unacceptable to you, your only resourse is to terminate this agreement. Your continued participation in the program following our posting of change notice or new agreement on our site will constitute binding acceptance of the change.

11. This Agreement will be governed by the laws of Sweden. Any action relating to this Agreement must be brought in the courts located in Stockholm, Sweden, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such a provision or any other provision of this Agreement.
